Establishment of the limited liability company „Jadran-Naftagas“ in Republika Srpska and establishment of the branch office in Nojabrsk, Russian Federation

In accordance with the Memorandum on Cooperation entered between the company NIS a.d. Novi Sad and the company „Oil and Gas Innovation Corporation“, with the registered seat in Moscow, Russian Federation (OAO “NeftegasInCor”), limited liability company for exploration and production of oil has been established in Republika Srpska, Bosnia and Herzegovina on 23 December 2010.

The full business name of the company is: „Jadran – Naftagas“ limited liability company Banja Luka, while the abbreviated name of the company is: „Jadran – Naftagas“ d.o.o. Banja Luka.

The registered seat of the company is in Banja Luka, Republika Srpska, Bosnia and Herzegovina, Ivana Franje Lukica street no. 7.

The main activity of the company is exploration and production of oil and gas, while other related activities for which the company is registered are: crude oil extraction, natural gas extraction, servicing activities related to oil and gas extraction not including exploration works, sounding and drilling field exploration.

Basic capital of the company amounts to KM 2.000 (two thousand), whereas founding contribution of NIS a.d. Novi Sad amounts to KM 1.320, on the basis of which it has acquired the share of 66% in the basic capital of the company, while the founding contribution of OAO “NeftegasInCor” amounts to KM 680, on the basis of which it has acquired the share of 34% in the basic apital of the company.

The branch office of NIS a.d. Novi Sad is established with registered seat in Russian Federation, 629800, Yamalo-Nenets Autonomous Okrug, Nojabrsk, Industrian zone „Pelej“, panel IV, with the term of existence until 20 December 2015, with the possibility of prolongation.

The subject and the basic goal of the branch office activity is protection and representation of NIS a.d. Novi Sad interests in relations with the state authorities of Russian Federation, Nojabrsk city and Yamalo-Nenets Autonomous Okrug, as well as with the local authorities, the companies, the organizations, the institutions, other legal and natural persons, and the performance of other specific activities of NIS a.d.  Novi Sad.
